Urantia Foundation Delicenses Urantia Brotherhood
and Terminates the Brotherhood as
Sales and Distribution Agent for The Urantia Book
Urantia Foundation 533 Diversey Parkway Chicago, Illinois 60614 October 30, 1989 General Council Dear Councilors: Re: Termination of Confirmatory Agreement The Confirmatory Agreement between Urantia Foundation and Urantia Brotherhood permits the Brotherhood, as the Foundation's licensee, to use Urantia names and marks, including the name Urantia Brotherhood, as well as the Concentric Circles mark, for a wide range of activities in accordance with standards established by the Foundation which assure that the Foundation is able to control the quality of the services provided under those names and marks. The License Agreement for use of the word UrantiaN licenses the Brotherhood's use of UrantiaN in accordance with the same terms and conditions under which it is permitted to use the Urantia names and marks and the Concentric Circles mark. The supplement to the Confirmatory Agreement allows the Brotherhood to use the Urantia and Concentric Circles marks as collective marks subject to those same terms and conditions. Because of Urantia Brotherhood's recent actions contrary to these provisions and its recent statements to the effect that it will resist the exercise of control by Urantia Foundation in accordance with the terms of the above referenced agreements, the Trustees have decided that faithfulness to their trust leaves them with no choice but to terminate these agreements. In order to facilitate Urantia Brotherhood's transition to a new name and new marks, Urantia Foundation is willing to grant the Brotherhood a limited license, until December 31, 1989, to use, in accordance with standards established by the Foundation, the name Urantia Brotherhood and the Urantia and Concentric Circles marks for the activities described below on the condition that the Brotherhood agree to refrain from conducting, during that transition period, any other activities thereunder, including the further dissemination of communications critical of Urantia Foundation. The activities in which Urantia Brotherhood may continue to engage under the Urantia names and marks pursuant to the transitional, limited license are: the sale of The Urantia Book, "Study Aids For Part IV of The Urantia Book," and the "Keyword Index" (through Urantia Brotherhood Corporation); and the distribution of "The Urantia Book: A Description," "Selected Excerpts." "Guide To Pronunciation Of Names and Words In The Urantia Book," "Leavening Our Religious Heritage," "Our Task," and "Basic Concepts of The Urantia Book". For the purposes of the transitional, limited license, the terms "sale" and "distribution" mean only those activities through Urantia Brotherhood Corporation necessary to complete such transactions and expressly exclude correspondence or other dissemination of information not necessary thereto. If the Brotherhood refuses to agree to the terms of the transitional, limited license offered herein, the Brotherhood must immediately cease using all Urantia names and marks, the Concentric Circles mark, and the UrantiaN mark. If the Brotherhood wishes to obtain the transitional, limited license, please have the appropriate officer or officers of the Brotherhood sign this letter below and return it to us no later than November 30, 1989, to signify the Brotherhood's agreement to the transitional, limited license, including the Brotherhood's agreement to refrain from other use of the Urantia names and marks or the Concentric Circles mark and all use of the UrantiaN mark, during that time period, as well as thereafter. Please note that, until the letter has been signed by Urantia Brotherhood and returned to Urantia Foundation, the Brotherhood must refrain from using all the Urantia names and marks, the Concentric Circles mark, and the UrantiaN mark. Please be advised that the parties' Confirmatory Agency Agreement (relating to the Brotherhood's agency for the distribution and sale of The Urantia Book) will also be terminated effective on or about December 31, 1989, in accordance with the Notice of Termination accompanying this letter. It is with a sense of sadness that, because of the actions of Urantia Brotherhood (or its officers), the Trustees must sever the long-standing relationship between Urantia Brotherhood and Urantia Foundation. We hope that Urantia Brotherhood will take the necessary steps to make the transition as orderly as possible. Urantia Brotherhood signifies its wish to continue until December 21, 1989, to use, in accordance with the terms of the transitional, limited license set forth in the letter above, the Urantia names and marks and the Concentric Circles mark and agrees to so limit its use in exchange for said license. _______________________________________ |
